COPA90 CREATOR COMMISSIONS - APPLICATION TERMS AND CONDITIONS
- Acceptance of Application Terms and Conditions
1.1 COPA90 Creator Commissions is an initiative operated by COPA90 Media Limited, a company registered in England and Wales under company number 5851891, with its principal place of business being Exmouth House, 3-11 Pine Street, London EC1R 0JH (“COPA90”, “we” or “us”).
1.2 These terms and conditions shall apply to your application to receive an amount of up to £1,000 (the “COPA90 Creator Commissions Award”) to enable you to produce media content for publication by COPA90 on the COPA90 website (www.copa90.com), any other website or digital platform owned or operated by COP90, and/or any other website or digital platform owned or operated by a third party with whom COPA90 has entered into or enters into a commercial agreement (the “Distribution Channels”).
1.3 By submitting your Application (as defined below) to COPA90, you agree and accept the following terms and conditions (the “Application Terms and Conditions”).
1.4 In the event that your Application to COPA90 Creator Commissions is successful, you will be required to accept additional or supplementary terms and conditions in respect of the project being commissioned by COPA90 (the “Content Commissioning Agreement”). The Content Commissioning Agreement shall apply in the event of any conflict with these Application Terms and Conditions.
2. Application Process
2.1 To apply to COPA90 Creator Commissions, you must submit the following information to COPA90 in the form on the Creator Commissions page :
(ii) Location - city/town
(iv) Idea (in no more than 200 words. If you’re planning on presenting, directing or editing please specify this) (v) Budget breakdown - (bullet-points detailing how you’re planning on spending the budget, even you’re just budgeting your time in)
(vi)Planned time-frame (bullet-points of how you will get the project done in two months)
(viI)Links to previous work of you and proposed team (together, your “Application”).
2.2 In submitting your Application, you warrant to COPA90 that:
(i) your Application is original to you and that no other party has any rights to it;
(ii) your Application does not contain any material which is defamatory, discriminatory, obscene, or which infringes upon the rights of any third party (including without limitation, intellectual property rights, privacy, publicity or other personal or proprietary rights);
(iii) your Application is compliant with all applicable laws and regulations; and(iv) all information contained in your Application is true, accurate and up to date.
2.3 You must be over 18 years old at the time you submit your Application to us.
2.4 You are permitted to submit more than one Application to us provided that all Applications fulfill the Terms and Conditions outlined here.
2.5 You acknowledge and agree that COPA90 shall be under no obligation to treat your Application as confidential.
2.6 You agree to indemnify, defend and hold harmless COPA90 from and against any losses, liabilities, expenses (including reasonable legal expenses) and damages resulting from your Application and any breach of these Application Terms and Conditions.
3. Intellectual Property
3.1 When you create your Application and submit it to COPA90, you shall retain ownership in the intellectual property rights of your Application (to the extent that you owned such intellectual property rights to begin with).
3.2 By submitting your Application to us, you grant COPA90 and any member of our group of companies, a non-exclusive, royalty-free, licence to use, reproduce, and/or create derivative works from your Application in any form, media, or technology now known or later developed, for the purpose of the subject matter of these Application Terms and Conditions.
4. Selection Process
4.1 We intend to consider all applications that conform to the criteria set out in Section 2 of these Application Terms and Conditions, however, COPA90 is under no obligation to review your Application or enter into any correspondence about your Application. You acknowledge and agree that you are not entitled to any notification from us if we decide not to progress your Application.
4.2 COPA90, in its sole discretion, may contact you (via any of the contact methods for which you have supplied details in your Application) to discuss your Application further. Such communication from COPA90 shall not be deemed to indicate that your Application to the COPA90 Creator Commissions is successful.
4.3 If we select your Application and would like you to invite you to create the content proposed in your Application, we will contact you to discuss and agree the scope of the content to be commissioned from you (the “Commissioned Project”). We will then determine the amount of the COPA90 Creator Commissions Award that you will be entitled to receive for the Commissioned Project. The Commissioned Project and COPA90’s payment of the COPA90 Creator Commissions Award will be subject to you and COPA90 entering into the separate Content Commissioning Agreement. Please note that it will be a condition of the Content Commissioning Agreement that all intellectual property rights in the content that you create in connection with the Commissioned Project will be assigned to COPA90.
5.1 Insofar as is permitted by law, COPA90 accepts no responsibility for any damage, loss, disappointment, injury (other than our liability for personal injury or death as a result of our negligence) of any kind suffered by you as a result of your Application and/or submitting your Application, including (without limitation) the event that your Application is not successful.5.2 COPA90 accepts no responsibility for any Application that is lost, damaged or delayed in its transmission from you to COPA90, including (without limitation) for any unavailability or faults with the internet, related websites or software failures of any kind which may affect the sending, receipt or processing of your Application.
6.1 If any court, having competent jurisdiction, decides that any provision of these Application Terms and Conditions is invalid, that provision will be removed from the Application Terms and Conditions without affecting the enforceability of any other provisions not held to be invalid.
6.2 In all matters relating to your Application and these Application Terms and Conditions, the governing law shall be the laws of England and Wales.
6.3 You and COPA90 agree to submit to the exclusive jurisdiction of the Courts of England and Wales to resolve any legal matters relating to your Application and these Application Terms and Conditions.
